OXIEDO RESEARCH LICENCE Version 1.0 — draft of 8 September 2026 This licence governs the ORMAS reference implementation, the accompanying paper, and the experimental archive published with them ("the Software"). It is a source-available licence. It is NOT an open source licence as defined by the Open Source Initiative, and Oxiedo does not describe it as one: the restriction on production use in section 3 is the whole point of it, and that restriction is incompatible with the OSI definition. Oxiedo ("we") is the licensor. Oxiedo is a research company in formation; the legal entity that grants this licence is named in full in the released copy, and any successor entity is bound by section 4. 1. ACCEPTANCE By using the Software you accept this licence. If you do not accept it, do not use the Software. This licence applies to anyone who receives a copy, however they received it. 2. WHAT YOU MAY DO, FREELY AND WITHOUT ASKING You may use, copy, modify, compile, run and distribute the Software, and publish results obtained with it, for any of the following Permitted Purposes: (a) Research, including research carried out inside a commercial organisation and research that is externally funded. (b) Teaching, coursework, theses, and academic supervision. (c) Evaluation — determining whether the Software is suitable for a purpose, including evaluation by a commercial organisation deciding whether to obtain a Production Licence. Evaluation may use your own data and your own infrastructure. (d) Publication and independent verification, including publishing results that contradict Oxiedo's own. No permission, notification or embargo applies. Oxiedo claims no right of review over anything you publish about the Software. (e) Personal use unconnected with any commercial activity. No registration, no seat count, no reporting, no fee, and no notification to Oxiedo is required for any Permitted Purpose. Oxiedo does not track who uses the Software. 3. WHAT REQUIRES A PRODUCTION LICENCE Any use that is not a Permitted Purpose requires a separate written agreement with Oxiedo (a "Production Licence"). Without limiting that, the following require one: (a) Training, fine-tuning or operating a model with the Software where the resulting model, or any output of it, is used in the provision of goods or services to a third party, or in an internal process that a third party relies upon. (b) Any use in which an artefact produced by the Software — a record, a bound, a certificate or a log — is submitted to, relied upon by, or presented to a regulator, auditor, notified body, court, or customer as evidence. (c) Incorporating the Software, or a derivative of it, into a product or service made available to third parties, whether or not for a fee. (d) Use by or on behalf of a government body in an operational, non-research capacity. If you are unsure which side of this line your use falls, write to Oxiedo and ask. The answer will be given in writing and Oxiedo will not treat a good-faith question as an admission of breach. 4. THE RELEASE COMMITMENT Once Oxiedo has published a version of the Software under this licence, that publication is irrevocable. Oxiedo will not withdraw it, relicense that version under more restrictive terms, or assert any right that would prevent continued use of it under section 2. This obligation survives any change of control, sale of assets, insolvency, or wind-up of Oxiedo, and binds any successor in title to the Software. 5. ATTRIBUTION If you publish results obtained with the Software, cite the accompanying paper. If you distribute the Software or a derivative, include this licence and a notice identifying what you changed. Do not use "Oxiedo" or "ORMAS" to suggest that Oxiedo endorses, supplied, or verified your work, or that a bound you derived was calibrated by us. 6. PATENTS Oxiedo grants you a licence, under any patent claims it can license, to make and use the Software for the Permitted Purposes. That patent licence ends immediately if you assert, or fund the assertion of, a patent claim against anyone alleging that the Software infringes it. 7. NO WARRANTY, AND NO CALIBRATED BOUND THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, OXIEDO IS NOT LIABLE FOR ANY CLAIM, DAMAGE OR OTHER LIABILITY ARISING FROM THE SOFTWARE OR ITS USE. Stated plainly, because it matters more here than the capitals above: any bound, threshold or limit included in the Software is a research default. It has not been calibrated for your data, your domain or your risk profile, and it has not been validated by us for any deployment. Calibration and the accountability that follows from it are what a Production Licence provides. Nothing in a Permitted Purpose use should be presented to a regulator as a validated bound. 8. TERMINATION Your rights under section 2 end automatically if you breach this licence and do not cure the breach within 30 days of becoming aware of it. Rights properly granted to anyone who received the Software from you are unaffected by your breach. 9. DEFINITIONS "Production Licence" means a written agreement signed by Oxiedo permitting use beyond the Permitted Purposes. "You" means the individual or entity exercising rights under this licence, and any affiliate under common control with it. -------------------------------------------------------------------------------------- DRAFTING NOTE — REMOVE BEFORE RELEASE This is a working draft prepared for review, not executed legal advice. It follows the structure of the PolyForm licence family, which is well-tested source-available drafting, adapted to Oxiedo's terms. Have a solicitor review it before the Software is released, paying particular attention to: the section 3(b) evidence clause, which is unusual and is the commercially load-bearing one; the section 4 survival wording, which needs to bind a successor properly under the law of the governing jurisdiction; the licensor's legal name, which changes on the Delaware reincorporation; and the governing law and forum clause, deliberately absent here until that completes. --------------------------------------------------------------------------------------
